Effective for all users registered on or after 1 May 2026. Users registered before this date received 30 days' notice by email.
Please read these Terms carefully before using InfluencerMetric.in.These Terms constitute a legally binding agreement between you and InfluencerMetric Technologies Private Limited ("InfluencerMetric," "we," "us," or "our"). By creating an account, accessing the platform, or completing any transaction, you agree to be bound by these Terms and our Privacy Policy.
1. Who We Are and What We Do
InfluencerMetric.in is a technology marketplace that connects brands with content creators (collectively "influencers") for the purpose of planning, contracting, executing, and settling influencer marketing campaigns. The platform is operated by InfluencerMetric Technologies Private Limited, a company incorporated under the laws of India with its registered office in Mumbai, Maharashtra.
Our marketplace facilitates a broad spectrum of creator-economy services, including but not limited to: sponsored social media posts, product reviews and unboxing videos, YouTube video integrations, Instagram Reels and Stories placements, TikTok videos, Shorts, tutorials, comparison content, brand ambassador programs, giveaway campaigns, hashtag challenges, UGC (user-generated content) packages, testimonial content, live-stream sponsorships, social media account takeovers, podcast mentions, blog post placements, event coverage and live reporting, affiliate-linked content, and performance-based engagement campaigns.
InfluencerMetric acts solely as an intermediary platform. We are not a party to the creative services contract between a brand and a creator. We do not employ creators, and we do not endorse any specific creator, brand, product, or campaign. Our role is to provide technology infrastructure — discovery, contracting, escrow, delivery, verification, and dispute resolution — to facilitate transactions between independent parties.
We reserve the right to modify, suspend, or discontinue any feature or the platform as a whole with reasonable notice. We will not be liable to you or any third party for any modification or discontinuation of the service.
2. Definitions
Throughout these Terms, the following definitions apply. "Platform" means the InfluencerMetric.in website, mobile applications, APIs, and any related services. "Brand" means any individual, company, agency, or organisation that uses the Platform to discover and commission creators. "Creator" or "Influencer" means any individual or entity that uses the Platform to offer and deliver content or campaign services. "User" means any Brand or Creator with a registered account.
"Order" means a confirmed transaction between a Brand and a Creator for a specific deliverable, licensing package, and price, created through the Platform checkout flow. "Deliverable" means the content asset, campaign output, or service result that a Creator submits to a Brand in fulfilment of an Order. "Escrow" means the temporary holding of Order funds by InfluencerMetric, on behalf of the Brand, until the relevant release conditions are satisfied. "Listing" means a publicly visible service offering published by a Creator, which may include pricing tiers, add-on licensing packages, turnaround times, and portfolio samples.
"Platform Fee" means InfluencerMetric's service charge, which is 10% of the Order value charged to Brands and 5% of the Order value deducted from Creator payouts. "KYC" means Know Your Customer identity verification, which must be completed before a User can transact on the Platform. "Dispute" means a formal objection raised by either party regarding the quality, delivery, or terms of an Order.
3. Eligibility and Account Registration
To use InfluencerMetric, you must be at least 18 years of age. If you are registering on behalf of a company, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms, and references to "you" in these Terms shall refer to that entity.
You must provide accurate, complete, and current registration information including your legal name or company name, a valid email address, and a mobile phone number capable of receiving OTP verification. You agree to keep this information updated. InfluencerMetric reserves the right to reject, suspend, or terminate any account where registration information is found to be false, misleading, or incomplete.
Each User may maintain only one account per role type (Brand or Creator). Operating duplicate accounts, or creating accounts on behalf of others without authorisation, is prohibited. If you require an agency account that manages campaigns on behalf of multiple brands, contact us at welcome@influencermetric.in to request an agency-tier account configuration.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication method you configure. You are responsible for all activity that occurs under your account, whether or not you authorised it. If you suspect unauthorised access, you must notify us immediately. We will not be liable for any loss arising from your failure to secure your credentials.
4. Know Your Customer (KYC) and Identity Verification
InfluencerMetric operates a tiered KYC programme to protect all Users, reduce fraud, and comply with applicable anti-money-laundering obligations. KYC completion is mandatory before any financial transaction can take place — including funding an Order (Brands) or withdrawing earnings (Creators).
Tier 0 — Email and Phone Verification: All newly registered users must verify their email address and mobile number via OTP within 48 hours of registration. Tier 0 users may browse the Platform and communicate with other users but may not fund Orders, accept Orders, or publish Listings.
Tier 1 — Government-Issued ID Verification:Before transacting, all Users must complete Tier 1 verification by submitting a valid government-issued photo identity document (such as an Aadhaar card, PAN card, passport, or driver's licence) and a real-time selfie liveness check. Documents must be authentic, unaltered, and legible. InfluencerMetric or its KYC service partners will review submissions and communicate decisions within 2 business days.
Tier 2 — Enhanced Due Diligence:Tier 2 verification — which may include proof of address and additional background screening — is triggered automatically when a User's cumulative transaction volume within a rolling 30-day period exceeds ₹40,000, or when a single Order exceeds ₹20,000. InfluencerMetric may also request Tier 2 verification at any time if unusual activity is detected. Failure to complete Tier 2 verification within 7 days of being notified will result in temporary suspension of payout and Order-funding capabilities.
InfluencerMetric reserves the right to decline, suspend, or permanently close accounts based on KYC findings, including where identity cannot be adequately verified, where documents are inconsistent, or where a User appears on any sanctions or fraud watchlist. All KYC data is processed and stored in accordance with our Privacy Policy and applicable data protection law.
5. Platform Fees and Fee Structure
InfluencerMetric charges a service fee on every completed Order as compensation for providing the marketplace infrastructure, escrow management, contract generation, dispute resolution, and platform support. The fee structure is as follows:
- Brand Service Fee: 10% of the Order value, added to the Brand's checkout total at the time of Order creation. This fee is non-refundable once the Creator has accepted the Order, except in cases where the Platform determines a full refund is warranted following a Dispute ruling.
- Creator Service Fee: 5% of the Order value, deducted from the Creator's payout at the time funds are released from Escrow. Creators see their net payout amount displayed before accepting an Order.
All fees are displayed transparently at checkout and in each User's dashboard. InfluencerMetric does not charge listing fees, subscription fees, or discovery fees under the current fee model. We reserve the right to introduce new fee types or adjust existing fees with 30 days' advance notice to affected Users. Continued use of the Platform after such notice constitutes acceptance of the revised fee structure.
Any attempt to negotiate, execute, or settle a transaction that was originated through the Platform outside of the Platform ("off-platform transaction") is a material breach of these Terms. InfluencerMetric may terminate the accounts of both parties involved in an off-platform transaction and may pursue any additional remedies available at law.
6. Escrow Payment Model
All Order payments are processed through InfluencerMetric's escrow system. When a Brand places an Order, the total Order amount — including the Brand's 10% Platform Fee — is charged to the Brand's payment method and held in escrow by InfluencerMetric. No funds are transferred to the Creator until the escrow release conditions are met.
Escrow funds are held in a designated nodal or client-money account and are not commingled with InfluencerMetric's operational funds. While funds are in escrow, neither the Brand nor the Creator has the right to access or direct those funds except through the Platform's release mechanisms.
Escrow release conditions: Funds are released to the Creator when (a) the Brand explicitly approves the Deliverable through the Platform, or (b) the auto-approval timer expires — which occurs 72 hours after the Platform's automated live-check system confirms that the required post or content is publicly live on the agreed social media channel — without the Brand having raised a Dispute or requested a revision. Auto-approval does not apply to Orders where the Deliverable is not a verifiable social media post (e.g. a brand ambassador programme or a blog post requiring manual review); in those cases, manual Brand approval is required.
If a Brand fails to approve or raise a Dispute within 72 hours of the Creator marking an Order complete (where automated verification is not applicable), the Platform may auto-release funds at its discretion, with notice to the Brand. This provision exists to protect Creators from unreasonable payment delays.
If a Brand requests a revision, the escrow clock is paused pending the Creator's revised submission. Each Listing specifies the maximum number of revisions included; once this limit is exceeded, the Brand may purchase additional revision rounds or accept the current Deliverable. Revision requests do not entitle a Brand to a refund unless a formal Dispute is raised and decided in the Brand's favour.
7. Cancellations and Refunds
Before Creator acceptance:A Brand may cancel an Order at any time before the Creator formally accepts the Order on the Platform. In this case, the full Brand payment (including the Platform Fee) will be refunded to the Brand's original payment method, typically within 5–10 business days subject to the payment processor's schedule.
After Creator acceptance but before work begins: If the Creator has accepted the Order but has not yet begun work (as evidenced by the absence of any draft submission, communication, or status update), the Brand may request a cancellation. InfluencerMetric will review the request and, if satisfied that no meaningful work has commenced, issue a full refund minus the Brand Platform Fee (10%), which is forfeited.
After work has commenced: Once the Creator has begun producing the Deliverable, a refund is not automatically granted. The Brand must raise a formal Dispute (see Section 15). The amount refunded, if any, will be determined by the Dispute resolution process.
Creator-initiated cancellation: If a Creator cancels an accepted Order without delivering any work, the Brand receives a full refund of the Order amount and Platform Fee. A Creator who repeatedly cancels accepted Orders may face account suspension or permanent removal from the Platform.
InfluencerMetric does not guarantee any specific refund timeline and is not responsible for delays caused by payment processors, banks, or card networks. All refund decisions made by InfluencerMetric in the context of a Dispute are final and binding.
8. Creator Obligations and Content Standards
By accepting an Order on InfluencerMetric, Creators commit to delivering the agreed content to a professional standard, within the agreed turnaround time, and in compliance with these Terms, the Order brief, and all applicable laws. Creators are solely responsible for the accuracy, legality, and quality of the content they produce.
Disclosure obligations: Creators must comply with the Advertising Standards Council of India (ASCI) Guidelines for Influencer Advertising on Digital Media (current version, as updated from time to time). This includes, without limitation, prominently disclosing any paid or gifted partnership using the appropriate label — such as #ad, #sponsored, #collab, or platform-native partnership disclosure tools — wherever such disclosure is required. The disclosure must be placed where it is clearly visible to viewers before they engage with the content. Failure to comply with ASCI disclosure guidelines is a material breach of these Terms and may result in Order cancellation without payment, account suspension, and reporting to the relevant authority.
Authenticity of metrics: Creators must not artificially inflate follower counts, engagement rates, view counts, or any other performance metric through the purchase of fake followers, engagement pods that generate non-organic interactions, bots, click farms, or any other inauthentic means. Creators represent and warrant that the social account metrics displayed on their Profile are a genuine reflection of their organic audience.
Accuracy of claims: Creators must not make false, misleading, or unsubstantiated claims about any product or service featured in paid content. Claims that could constitute consumer deception under the Consumer Protection Act, 2019, or any applicable advertising regulation, are prohibited. If a Brand instructs a Creator to make a claim that the Creator believes to be false or misleading, the Creator must refuse and escalate the concern to InfluencerMetric support.
Content stay-live obligations: Unless otherwise specified in the Order brief, sponsored content must remain publicly live on the agreed platform for a minimum of 30 daysfrom the date of posting. Removing, archiving, setting to private, or materially altering approved content before this period expires without prior written consent from the Brand constitutes a breach of the Order. InfluencerMetric's automated live-check system monitors content for compliance with this obligation.
Exclusivity windows:If an Order includes an exclusivity add-on (e.g. a 30, 60, or 90-day exclusivity window), the Creator agrees not to accept competing Orders from direct competitors of the Brand for the duration of the exclusivity window, as specified in the contract. Breach of an exclusivity clause may trigger a partial or full refund to the Brand from the Creator's payout and may result in account suspension.
9. Brand Obligations and Campaign Standards
Brands using InfluencerMetric agree to provide complete, accurate, and lawful campaign briefs. A brief must include the campaign objective, key messages, required deliverables, posting timeline, platform(s), hashtags or tags required, and any exclusivity or licensing requirements. Incomplete or deliberately misleading briefs that cause Creators to produce off-target work will not entitle a Brand to a refund or revision beyond the number included in the Listing.
Brands must not instruct Creators to publish content that violates any applicable law, including but not limited to the Consumer Protection Act, 2019; the Information Technology Act, 2000; the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954; the Cable Television Networks (Regulation) Act, 1995; ASCI guidelines; or any sector-specific advertising regulations (e.g. SEBI guidelines for financial products, IRDA guidelines for insurance advertising, FSSAI regulations for food products). Brands are solely responsible for obtaining all necessary permissions, clearances, and regulatory approvals for their campaigns.
Brands must not commission content that promotes: tobacco or electronic cigarettes; alcohol (unless compliant with applicable regulations and age-gating requirements); gambling or wagering services; adult or sexually explicit material; weapons or ammunition; pyramid schemes or Ponzi schemes; cryptocurrencies, tokens, or NFTs without the applicable disclosures and regulatory permissions; or any content that incites violence, hatred, or discrimination on the basis of religion, race, gender, caste, or any other protected characteristic.
Brands are responsible for ensuring that any product or service they send to Creators for review or use in content is safe, lawfully sold in India, and accurately described. Brands indemnify InfluencerMetric and the Creator against any claim arising from a defective, unsafe, or misrepresented product.
10. Content Licensing and Intellectual Property
Creator ownership:All original creative content produced by a Creator in fulfilment of an Order remains the intellectual property of the Creator. The Creator does not transfer copyright to the Brand or to InfluencerMetric merely by accepting and completing an Order. All rights not expressly granted under the Order's licensing selections are reserved by the Creator.
Usage rights granted to the Brand:By approving a Deliverable, the Brand receives a limited, non-exclusive, non-transferable licence to use the content solely for the purposes, platforms, and duration specified in the Order's licensing selections at the time of checkout. Standard licensing (included in the base Order price) covers organic posting of the content on the Brand's owned social media channels and website for 6 months. Any use beyond this scope — including paid media amplification, whitelisting / Spark Ads, full ownership transfer, geographic scope expansion, or cross-platform licensing — must be explicitly purchased as a licensing add-on during checkout and will be reflected in the auto-generated contract.
Prohibited uses:The Brand may not: (a) sub-license, sell, or transfer the content to any third party without a separate written agreement with the Creator; (b) modify, crop, edit, or otherwise alter the content in a way that materially misrepresents the Creator's message or brand without the Creator's written consent; (c) use the content in a manner that implies endorsement by the Creator of views or products beyond the agreed campaign; or (d) continue using the content after the licensed period expires.
InfluencerMetric licence: You grant InfluencerMetric a worldwide, royalty-free, non-exclusive licence to display, host, reproduce, and distribute your content and profile information — including Listing images, portfolio samples, and Deliverable previews — solely for the purpose of operating, promoting, and improving the Platform. We may display Creator profile content in marketing materials, app stores, social media promotions, and press materials. You may revoke this licence for promotional use at any time by contacting us, but we retain the right to continue hosting content that is required for open Orders or Dispute evidence.
Third-party rights: If your content includes third-party music, images, footage, or other copyrighted material, you are solely responsible for obtaining all necessary licences and clearances. InfluencerMetric will not be liable for any infringement claim arising from such use.
11. Social Account Integration and Data Access
InfluencerMetric allows Creators to connect their social media accounts (including Instagram, YouTube, TikTok, and X/Twitter) via official OAuth protocols. By connecting an account, you authorise InfluencerMetric to read profile data, follower counts, engagement metrics, and post-level analytics from that account as described in our Privacy Policy. This data is used to populate your Creator Profile, calculate your authenticity score, verify delivered posts, and provide performance analytics to Brands.
You represent and warrant that you are the legitimate owner and authorised operator of any social media account you connect to the Platform. You must not connect accounts that you do not own, that belong to another person or organisation, or that are operated in violation of the relevant social platform's terms of service. You must not connect accounts where the follower base was acquired primarily through paid, bot, or artificial means.
You may disconnect any connected social account at any time from your account settings. Disconnecting an account does not automatically delete historical data already collected; please refer to our Privacy Policy for data retention and deletion procedures. If you disconnect an account while an Order is in progress, you are still obligated to fulfil that Order using the connected platform, and the Platform's live-check features may be impaired.
Our use of social platform APIs is governed by the terms and policies of the respective platform operators (Meta, Google, TikTok, X Corp). InfluencerMetric does not post, publish, delete, or modify content on any connected social account without an explicit action initiated by you within the Platform.
12. Authenticity Score and Metrics Representation
InfluencerMetric calculates an Authenticity Score(0–100) for each Creator's connected social accounts. This score is an internally computed heuristic based on signals including follower-to-following ratio, engagement rate relative to follower count, comment-to-like ratio, comment quality analysis, follower growth velocity, account age, and post cadence consistency. The score is displayed on Creator Profiles to assist Brands in evaluating audience quality.
The Authenticity Score is a platform tool and not a certified audit or guarantee of audience quality. InfluencerMetric makes no representation that the score is perfectly accurate, exhaustive, or free from error. Brands should use the score as one input among many when evaluating Creators, not as a definitive assessment.
Creators must not take any deliberate action to artificially manipulate their Authenticity Score or any underlying metric displayed on the Platform. This includes sudden follower purchase, engagement pod participation, follow/unfollow cycles, and any other tactic designed to inflate numbers. InfluencerMetric conducts periodic audits of Creator metrics and may lower Authenticity Scores, flag accounts for review, or suspend accounts where artificial manipulation is detected.
13. Campaign Types and Scope of Services
The Platform supports a wide range of influencer marketing campaign types. The following is a non-exhaustive description of the campaign formats that Brands may commission and Creators may offer through the Platform. Each campaign type has specific fulfilment obligations; both parties should ensure these are clearly specified in the Order brief and reflected in the auto-generated contract.
Sponsored content posts (Instagram feed, Reels, Stories, YouTube videos, Shorts, TikTok videos, X posts, LinkedIn posts, Facebook posts) require posting on the agreed date, with required disclosure tags, hashtags, and brand tags as specified in the brief. Product review and unboxing content requires honest, good-faith evaluation of the product; Brands may not contractually require a positive review, though they may request factual corrections. Brand ambassador programmes are ongoing engagements and are governed by a master services agreement generated by the Platform at the commencement of the engagement, with individual Orders placed for each deliverable batch.
Giveaway campaigns must comply with applicable consumer promotion rules. Creators running brand-sponsored giveaways are responsible for disclosing the sponsorship, clearly stating eligibility criteria, and fulfilling prize delivery on behalf of the Brand per the agreed terms. Hashtag challenges require the Creator to seed the challenge, participate actively, and report metrics (reach, participation, impressions) at the agreed cadence. UGC packagesinvolve the Creator producing raw content files (photos, videos, voiceovers) intended for direct use by the Brand on the Brand's own channels; the licensing terms for UGC must be specified at Order creation.
Live-stream sponsorships require the Creator to mention or feature the Brand during a scheduled live-stream session. A recording URL or timestamp must be submitted as the Deliverable. Social media takeovers involve the Creator temporarily managing the Brand's social channel; the scope, duration, and access method must be agreed in writing and the Brand remains responsible for all content posted from their channel. Podcast mentions require the Creator to feature a brand read or segment; the episode URL and timestamp must be submitted. Blog post placements require the URL of the published post; live-check will verify publication and the post must remain live for the agreed period.
Performance campaigns(app installs, lead generation, e-commerce conversions, offline footfall drives) may include UTM-tracked links, unique promo codes, or postback pixels provided by the Brand. Creators using tracked links must not manipulate or artificially inflate tracked conversions. Brand performance campaign obligations — including the provision of functioning tracking infrastructure — are the Brand's sole responsibility.
14. Automated Live-Check and Deliverable Verification
Where a Deliverable involves publicly posted social media content, InfluencerMetric operates an automated live-check system that verifies: (a) that the post exists at the submitted URL; (b) that the posting account matches the Creator's connected social account handle; (c) that the post is publicly visible; and (d) where technically accessible via platform APIs, that required hashtags, brand tags, or captions elements are present.
Live-checks are performed at the time of Deliverable submission and then repeated at regular intervals (typically every 24 hours) for the duration of the content stay-live period. All live-check results are logged. If a live-check fails after a post was previously verified as live — indicating that the post was removed, set to private, or modified — the Platform will notify both parties and pause the auto-approval timer pending Creator explanation. Repeated or unexplained live-check failures may result in automatic dispute initiation.
The live-check system has inherent technical limitations arising from social platform API restrictions, including rate limits, delayed propagation, and restricted data access for certain account types. A failed live-check due to a Platform technical issue (rather than Creator non-compliance) is not a ground for Brand refund. InfluencerMetric will use reasonable efforts to resolve technical verification issues promptly.
15. Dispute Resolution
InfluencerMetric provides a structured dispute resolution process for conflicts arising between Brands and Creators in connection with an Order. A formal Dispute must be raised through the Platform's dispute centre — informal complaints via email, social media, or chat do not constitute a formal Dispute and will not trigger escrow suspension.
How to raise a Dispute: Either party may raise a Dispute from the Order page at any time after the Creator has submitted a Deliverable and before the escrow auto-release window closes. Once a Dispute is raised, escrow funds are frozen and the auto-release timer is suspended until the Dispute is resolved.
Evidence gathering period: Both parties have 72 hoursfrom the time the Dispute is opened to submit their evidence through the Platform's evidence portal. Evidence may include written explanations, screenshots, files, post URLs, communication records, or any other documentation relevant to the Dispute. Evidence submitted after the 72-hour window may not be considered at the discretion of the reviewing administrator.
Admin review: InfluencerMetric's support team will review all submitted evidence and issue a ruling within 5 business days of the evidence window closing. In complex cases, the review period may be extended to 10 business days; both parties will be notified of any extension.
Possible rulings: (a) Full release to Creator — the Deliverable meets the Order brief and all obligations are satisfied; (b) Full refund to Brand — the Creator materially failed to deliver the agreed content; (c) Partial refund — a percentage of the Order value is refunded to the Brand and the remainder released to the Creator, reflecting partial performance; (d) Revision order — the Creator is required to deliver a revised Deliverable before funds are released. Rulings are communicated to both parties via email and the Platform dashboard.
Finality:InfluencerMetric's Dispute ruling is final and binding within the Platform. Once a ruling is issued, the corresponding escrow action is executed automatically. InfluencerMetric's Dispute decisions do not constitute legal arbitration and do not preclude either party from pursuing legal remedies through courts of competent jurisdiction, but no court application shall affect the Platform's escrow decision once executed.
Abuse of disputes: Raising frivolous, bad-faith, or repeatedly unsuccessful Disputes may result in account restrictions or a processing fee for future Disputes. InfluencerMetric reserves the right to identify and penalise dispute abuse.
16. Payouts and Earnings
Creator earnings are credited to the Creator's Platform wallet upon escrow release. Creators may withdraw their available wallet balance to their registered bank account at any time, subject to minimum withdrawal thresholds and payout processing times as published in the Platform's help centre (currently ₹500 minimum, with processing within 3–5 business days).
The Creator's net payout per Order is the Order value less the 5% Creator Platform Fee. For example, on an Order worth ₹10,000, the Creator's gross earning is ₹10,000 and the net payout after the 5% fee is ₹9,500. This is clearly displayed before the Creator accepts any Order.
All payouts are made in Indian Rupees (INR) to Indian bank accounts. InfluencerMetric does not currently support international payouts. Creators must provide accurate bank account details; InfluencerMetric is not responsible for failed or misdirected payouts resulting from inaccurate account information provided by the Creator.
InfluencerMetric reserves the right to withhold, delay, or reverse any payout where: (a) there is an open Dispute on the associated Order; (b) we have reasonable grounds to suspect fraud, money laundering, or platform manipulation; (c) the Creator's KYC is incomplete or suspended; or (d) we are required to do so by a court order or regulatory direction. We will notify the Creator of any payout hold as promptly as possible and will provide reasons to the extent permitted by law.
17. Prohibited Conduct
The following conduct is strictly prohibited on InfluencerMetric. Violation of any item in this section is grounds for immediate account suspension or permanent termination, and may result in forfeiture of any funds held in escrow or the Platform wallet.
- Providing false, misleading, or fraudulent registration information, identity documents, or KYC submissions.
- Impersonating another individual, brand, celebrity, or organisation.
- Purchasing, selling, or otherwise transferring a Platform account to another party.
- Artificially inflating social media metrics, follower counts, or engagement rates through inauthentic means.
- Using bots, scraping tools, or automated scripts to interact with the Platform, extract data, or manipulate rankings and search results.
- Attempting to circumvent Platform fees by directing or inviting the other party to transact outside the Platform.
- Harassing, threatening, or engaging in abusive behaviour toward any other User, InfluencerMetric staff, or third party in connection with Platform activities.
- Uploading, distributing, or linking to malware, viruses, or any malicious code through the Platform.
- Attempting to gain unauthorised access to another User's account, the Platform's backend systems, or any payment infrastructure.
- Submitting or approving Deliverables that were generated by artificial intelligence without the Brand's prior written consent where AI-generated content was not specified in the brief.
- Engaging in activities that constitute money laundering, fraud, or any other financial crime.
- Creating or promoting content that is defamatory, obscene, child-exploitative, communally inflammatory, or otherwise illegal under Indian law.
- Leaving false, paid, or incentivised reviews or ratings for other Users.
- Sharing confidential campaign information, including briefs, contracts, or payment amounts, with third parties without the other party's consent.
18. Reviews, Ratings, and User Reputation
Upon completion of an Order, both the Brand and the Creator are invited to leave a mutual review and rating. Reviews and ratings become visible on the respective User's Profile after both parties have submitted their review, or after 14 days, whichever is earlier. Reviews are intended to be honest, first-hand assessments of the professional collaboration experience.
You must not: post fake or incentivised reviews; post reviews for transactions that did not occur on the Platform; threaten the other party with a negative review to gain leverage in a Dispute; or post reviews that contain personal attacks, private information, or defamatory statements. InfluencerMetric reserves the right to remove reviews that violate these standards and to take action against Users who abuse the review system.
Each party has a single opportunity to edit their review within 48 hours of submission. After this window, reviews are locked. InfluencerMetric will not remove reviews on request except where the review violates these Terms or applicable law. Cumulative ratings and review history are used to determine Creator ranking and discoverability on the Platform; InfluencerMetric makes no guarantee of any specific level of visibility.
19. Contracts and Documentation
For every funded Order on InfluencerMetric, the Platform automatically generates a digital services agreement (the "Contract") incorporating the Order details, agreed deliverables, timeline, licensing selections, revision allowance, payment terms, and governing law clause. The Contract is presented to both parties for e-signature before the Creator begins work.
By signing the Contract through the Platform's e-signature workflow, both parties agree that the e-signature is legally valid and binding to the same extent as a handwritten signature, pursuant to the Information Technology Act, 2000. Both parties receive a copy of the signed Contract via the Platform and by email. The signed Contract is stored securely and is available for download from the Order page for a minimum of 3 years.
The Contract does not replace these Terms of Service; these Terms govern the relationship between each User and InfluencerMetric, while the Contract governs the specific obligations between Brand and Creator for that Order. In the event of any conflict between the Contract and these Terms, these Terms shall prevail in relation to InfluencerMetric's rights and obligations, and the Contract shall prevail in relation to the Brand–Creator deliverable obligations.
20. Privacy and Data Protection
InfluencerMetric is committed to protecting the personal data of all Users. Our Privacy Policy, available at influencermetric.in/privacy, describes in detail how we collect, use, store, share, and protect your personal information, including the data collected during KYC verification, social account integration, and payment processing.
By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy. We process personal data in accordance with India's Digital Personal Data Protection Act, 2023 (DPDPA) and other applicable data protection legislation. We do not sell personal data to third parties and do not use personal data for purposes beyond those described in the Privacy Policy without obtaining fresh consent.
Campaign brief information, Order details, and communications between Users may be accessed by InfluencerMetric staff for the purposes of Dispute resolution, fraud prevention, and Platform safety. By using the Platform, you consent to this access for these purposes. We implement industry-standard technical and organisational measures to protect your data from unauthorised access, loss, or disclosure.
21. Confidentiality
In the course of using InfluencerMetric, each party ("Receiving Party") may receive confidential information belonging to the other party ("Disclosing Party") — including campaign briefs, product information, pricing, business strategies, and performance data. The Receiving Party agrees to hold such information in strict confidence, to use it solely for the purpose of fulfilling the relevant Order, and not to disclose it to any third party without the Disclosing Party's prior written consent.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party; or (d) is required to be disclosed by law, regulation, or court order, provided that the Receiving Party gives the Disclosing Party reasonable advance notice where legally permitted.
Creators must treat all product information, unreleased campaign assets, and Brand business data received through the Platform as confidential and must not share such information publicly or with competitors of the Brand, whether during or after the completion of the Order.
22. Suspension and Account Termination
InfluencerMetric may suspend or permanently terminate your account, with or without prior notice, if: (a) you breach any provision of these Terms; (b) we reasonably suspect fraud, money laundering, or other illegal activity; (c) you fail to complete required KYC verification within the specified timeframe; (d) your account receives multiple substantiated complaints; (e) you engage in conduct that poses a risk to other Users, the Platform, or InfluencerMetric's reputation; or (f) we are required to do so by a court order or regulatory direction.
Where we suspend an account due to a suspected policy violation, we will notify the account holder via email and provide a reasonable opportunity to respond (typically 5 business days) before making a final decision on permanent termination. During a suspension, the User may not create new Orders, accept new Orders, or withdraw funds. We may, at our discretion, process withdrawals for earned funds that are not subject to any Dispute, pending fraud investigation completion.
You may voluntarily deactivate your account at any time from Account Settings. Upon deactivation: (a) any open Orders must be completed or cancelled per these Terms before deactivation takes effect; (b) your Profile will be removed from public search and discovery; (c) your data will be retained in accordance with our Privacy Policy and applicable law. Deactivation does not release you from obligations under any open Order, Contract, or these Terms.
Following permanent termination for cause, InfluencerMetric reserves the right to retain any Platform Fees earned and, where the termination arises from fraud or material breach causing loss to third parties, to set off amounts from the terminated User's wallet balance against those losses. Any remaining balance after lawful set-off will be remitted to the User.
23. Limitation of Liability
Service provided "as is":The Platform is provided on an "as is" and "as available" basis. InfluencerMetric makes no warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, free of viruses, or that the results obtained from using the Platform will be accurate or reliable.
Indirect damages excluded: To the fullest extent permitted by applicable law, InfluencerMetric shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, or any other intangible losses, arising out of or in connection with your use of the Platform, even if InfluencerMetric has been advised of the possibility of such damages.
Cap on direct liability:InfluencerMetric's total aggregate liability to you for all claims arising from your use of the Platform — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the total Platform Fees paid by you in the 12 months immediately preceding the event giving rise to the claim, or ₹10,000, whichever is greater.
Third-party services:InfluencerMetric is not liable for the actions, failures, or unavailability of third-party services including payment processors, social media platforms, cloud storage providers, e-signature services, KYC providers, or internet service providers. Disruptions caused by social platform API changes, outages, or policy updates are outside InfluencerMetric's control and do not constitute a failure of InfluencerMetric's service obligations.
Inter-User disputes: InfluencerMetric is not a party to the Brand–Creator services agreement and is not liable for the failure of either party to perform their obligations under an Order. The Dispute resolution process described in Section 15 is the exclusive mechanism through which InfluencerMetric exercises its role as marketplace administrator, and does not create any liability for the underlying creative services delivered or not delivered.
24. Indemnification
You agree to indemnify, defend, and hold harmless InfluencerMetric Technologies Private Limited, its directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgements, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) any content you submit, post, or transmit through the Platform; (c) your violation of any third party's rights, including intellectual property rights or rights of privacy; (d) your violation of any applicable law or regulation, including ASCI guidelines, advertising law, and consumer protection law; (e) any campaign you commission or deliver on the Platform; or (f) any misrepresentation you make to another User or to InfluencerMetric.
InfluencerMetric reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree not to settle any such claim without InfluencerMetric's prior written consent. Your indemnification obligations survive termination of your account and these Terms.
25. Force Majeure
InfluencerMetric shall not be liable for any delay or failure in performing its obligations under these Terms to the extent that such delay or failure results from events beyond our reasonable control, including but not limited to: acts of God; natural disasters; epidemic or pandemic; war, terrorism, or civil unrest; government actions or regulations; social media platform API shutdowns, policy changes, or outages; payment network failures; internet infrastructure disruptions; or any other cause that is genuinely beyond our reasonable ability to prevent or mitigate.
If a force majeure event prevents InfluencerMetric from operating the escrow or payout infrastructure for more than 14 consecutive days, we will notify affected Users and work in good faith to resume operations or arrange alternative payment mechanisms as promptly as practicable. A force majeure event does not extinguish Users' rights to funds held in escrow; it only suspends the timeline for processing.
26. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict-of-law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, that is not resolved through the Platform's Dispute resolution process, shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
Before initiating any legal proceedings, both parties agree to attempt to resolve the dispute in good faith by escalating it to InfluencerMetric management at legal@influencermetric.in. This pre-litigation escalation period shall be 30 days from the date of written notice, after which either party may proceed to court if the matter remains unresolved.
Nothing in this section shall prevent InfluencerMetric from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, including in cases of intellectual property infringement, account fraud, or misappropriation of Platform data.
27. Changes to These Terms
InfluencerMetric may update or modify these Terms at any time. When we make material changes, we will notify all registered Users via email at least 30 days in advance of the effective date. We will also display a prominent notice on the Platform. Changes that are required by applicable law or that benefit Users (such as expanded protections or reduced fees) may take effect immediately with notice.
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree with the revised Terms, you must stop using the Platform and may deactivate your account before the effective date. Deactivation prior to the effective date of revised Terms does not relieve you of obligations under open Orders or contracts in force at the time of deactivation.
We maintain a version history of these Terms. You may request a copy of a prior version by contacting legal@influencermetric.in.
28. Notices and Communications
All legal notices from you to InfluencerMetric must be sent in writing to legal@influencermetric.in. For general support queries, use welcome@influencermetric.in. Notices are deemed received when acknowledged by InfluencerMetric via email, or within 3 business days of sending if no acknowledgement is received.
InfluencerMetric may send notices to you at the email address registered to your account. You are responsible for keeping your email address current. Notices sent to an outdated email address are deemed delivered. Platform in-app notifications are considered delivered at the time they appear in your account dashboard.
29. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the parties acknowledge their intent that the original provision be given effect as closely as possible.
No failure or delay by InfluencerMetric in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach. Single or partial exercise of any right does not preclude further exercise of that right or any other right.
30. Entire Agreement
These Terms of Service, together with our Privacy Policy and any Order-specific Contracts executed through the Platform, constitute the entire agreement between you and InfluencerMetric with respect to your use of the Platform. These Terms supersede all prior agreements, representations, warranties, and understandings between you and InfluencerMetric relating to the subject matter hereof.
No modification of these Terms shall be binding on InfluencerMetric unless in writing and signed by an authorised representative of InfluencerMetric or published as an updated Terms document per Section 27. No statement made by any InfluencerMetric employee, agent, or representative in any context other than a duly published Terms update shall modify or supplement these Terms.
